I am one person who is looking to sell environmentally friendly products. I was thinking of donating a portion (maybe 20% of proceeds) to environmental causes. Should I incorporate as an L.L.C? Or form a non-profit? Or just be a sole proprietorship? I am most concerned about getting taxed the least. Why would a company like Newman's Own donate 100% of profits to charity, instead of just forming an non-profit?This is going to be a side thing, most definitely earning less than $20,000. more

Short & sweet: a non-profit in the next town is sueing us b/c of our name. We are the "xxxxx of Xtown" & they are "xxxxx of Ytown". They were established a year before us. After high school I became a wandering hitchhiker who traveled from coast to coast obtaining unique frames of reference through which to view the world, I then joined the Army as a Special Operations Combat medic having the opportunity to be the personal medic of Saddam Hussein upon capture and offer him my own body armor when incoming mortars struck, was a full time Republican Fundraiser for two years until being called back into the Army to assist the Arkansas National Guard with their missions in Iraq, and finally now I am a Reverend in the Church of Atheism which is incorporated with the state of Wisconsin as a Non-profit. The future of the Church is positive but it's success will depend largely on my education. The the quality of information and intellectual integrity that it's members, such as myself, can bring to the table determines the cumulative worth of the institution. With the education I am making steps to obtain here and my ministry experience at the Church of Atheism I plan to become the first Atheist Army Chaplain servicing the spiritual needs of the Armed Forces. The hardest things I have ever experienced were my best experiences. Physically the most challenging thing I have ever done was training for and completing a 50 mile ultra-marathon race through on a ridge line in Pine Mountain, GA. That is my greatest sense of pride. The most difficult mentally was passing an intensive special operations medical course in Ft. bragg, NC. It is the greatest source of bragging rights I have since I was an Airborne Ranger training amongst other special operations members such as Navy Seals and Green Berets. My greatest failure is private, but has given me a great sense of humility. I am a great addition to the diversity at (the university). Please read it over, I will give 10 points to whoever can bring magic to this essay, because it's looking pretty bad right now.. I never realized how much automatic thinking is actually incorporated in our everyday lives. Although, there are many different types of automatic thinking that can occur, there are a few specific types in particular that happened at a previous job of mine. Automatic thinking effects so many people and most of us never even realize when it happens. In a telemarketing job that I held for over one year, I made phone calls to different states in order to raise money for a non-profit organization. This organization held events called "Jail and Bail" throughout the country at local restaurants, and anybody from these cities could participate. A fake jail cell was set up and while people pretended to be in jail, and their friends paid money to the organization to bail them out. There was also a free lunch, games, and prizes at the event. At work, we would call businesses and find out who exactly we were speaking to, then inform them that "someone from the community has turned you in to be arrested for the Jail and Bail event this year." I was amazed at the gullibility of these people, and when they asked who had turned them in, we said that the person "asked to remain chicken in the witness protection program." I felt bad about lying, but it is a smart way to get people to help with the program. The type of automatic thinking called “reciprocation” (explained in the handout) has a compelling effect on these people that decide to participate. When we tell them that there will be free lunch, and that they get to spend a ‘fun hour in jail with their friends’, they think we are going out of our way for to them have a good time. Therefore, when participators get to the jail, they really try their hardest to raise as much money as possible. If they left the jail raising no money after receiving the free lunch, they would feel terrible, and possibly embarrassed. That may even bring them to do the event next year and try even harder. “The human tendency for friendships and liking others” (quoted from the handout) explains big part of how this sales tactic works. When we called people, and they decide they wanted to be a part of the event, we would then ask them, “so who would you like to have as your cell mate?”, and they would give us names and numbers of people they know. It really made a big difference when we mentioned the name of that person turned them in. Commitment and consistency also plays a role in this situation. The people that have already done the event in previous years may feel like they have committed themselves to do it every year when we call them. We kept everyone’s name that has participated, and call them every year. This type of sales tactic gets so many people to do something they possibly would never even think of doing. If it wasn’t for these different types to automatic thinking, this tactic may not work at all. more

There are many unincorporated churches. The unincorporated church is still automatically tax exempt, can have a bank account and property. The principal advantage to incorporate is the ability to sue and be sued. A corporation may dissolve and distribute its assets to any other entity including a non incorporated successor. An unincorporated entity is considered an association. I believe Revelation 18:4 calls for the church to unincorporate, that is to dissolve its relationship with the state, a corporation is an entity of the state that serves at the pleasure of the state. Problem is that a non profit corporation may not distribute its assets to the benefit of its members. This would seem to prohibit it from transferring assets, property buildings etc. to the new unincorporated association, as property held by an unincorporated association is considered tenancies in common, and as such would benefit the member. Is there a solution that will allow a non profit corporate church to transfer its property to the new unincorporated church association? more

I'm creating articles of incorporation of a non profit in California and I was told by the Non profit's head that I should add an article regarding the rights of artistic work in this non profit. Basically an article that states: The majority of all art donated to the organization will be granted singular distribution rights allowing the artist to display the donated work elsewhere under the artist's discretion. Meanwhile the organization can only achieve funding from the exact number of prints or duplicates offered by the artist. I told the incorporator that it would be best to leave that out of the articles and would better fit with individual contracts used AFTER the organization is incorporated. I just don't want this thing to get complicated. Any ideas on the rules for adding addendum articles to the articles of incorporation? Our small museum organization sold premanufactured bottles of soda with customized labels on them. One of our directors who is an insurance agent took out a product liability insurance policy on these and I contended that since all directors are bonded against liability of the company, we are incorporated and we do not own our own building that we are judgement proof and do not need this insurance. According to the rules in Social Security Administration, a person can't hold over $2,000 in asset for collecting SSI or SSDI. Can disabled business owner who collecting SSI be rejected from social security if he have any asset or over $2,000 in incorporation account NOT his personal bank account? In the process of starting a non-profit in memory of my brother that passed in a fire accident. This organization will educate families/schools on fire prevention and fire safety.
